1. Acceptance of these terms

These Terms of Service (“Terms”) govern your use of the services, website, and platforms operated by Zarle Infotech (“we”, “us”, “our”), including our website at zarleinfotech.com and our social media management platform at social.zarleinfotech.com (together, the “Services”).

By accessing or using the Services, or by engaging us for any professional services, you agree to be bound by these Terms and our Privacy Policy. If you use the Services on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. Our services

Zarle Infotech is an IT services company. Our offerings include software development, digital solutions, and social media management. As part of social media management, we operate a content management and scheduling platform through which we create, schedule, and publish content to social media accounts on behalf of our clients.

Specific deliverables, timelines, and scope for each client engagement are defined in the applicable service agreement, proposal, or statement of work between Zarle Infotech and the client. If those documents conflict with these Terms, the specific agreement prevails for that engagement.

3. Accounts and access

  • You are responsible for maintaining the confidentiality of any login credentials for our platform and for all activity under your account.
  • You must provide accurate and current information when creating an account or engaging our services.
  • Notify us promptly of any unauthorized use of your account.

4. Authorization to publish on your behalf

When you engage Zarle Infotech for social media management, you grant us the right and authorization to create, edit, schedule, and publish content on your behalf to the social media profiles, pages, and business accounts you connect or designate — including on Facebook, Instagram, and other platforms.

How this works: You connect your accounts through official platform authorization flows (such as Meta login), which issue us access tokens. We never receive or store your passwords. You may revoke this authorization at any time through your platform settings or by written notice to us, and revocation takes effect for all future publishing.
  • We publish according to the content plan, calendar, or instructions agreed with you.
  • You remain the owner and controller of your social media accounts at all times.
  • We will not use your accounts for any purpose outside the agreed scope of services.

5. Client responsibilities

  • You warrant that you own or have the necessary rights to all materials, brand assets, and content you provide to us for publication.
  • You are responsible for ensuring that content you approve for publication complies with applicable laws and the terms of the relevant social media platforms.
  • You will review and approve content per the workflow agreed in your service agreement.

6. Content ownership

Materials you provide to us remain yours. Unless your service agreement states otherwise, content we create for you as part of a paid engagement is assigned to you upon full payment, excluding our pre-existing tools, templates, and know-how, which remain the property of Zarle Infotech.

7. Acceptable use

You agree not to use the Services to:

  • Publish content that is unlawful, defamatory, infringing, deceptive, or that violates the policies of any social media platform.
  • Attempt to gain unauthorized access to our systems or interfere with the operation of the Services.
  • Use the Services to send spam or engage in manipulative or inauthentic behavior on social platforms.

We may decline to publish content that we reasonably believe violates this section or platform policies.

8. Third-party platforms

Our Services interact with third-party platforms (such as Meta’s Facebook and Instagram) through their official APIs. Your use of those platforms remains subject to their own terms and policies. We are not responsible for the availability, behavior, or policy decisions of third-party platforms, including changes to their APIs, content distribution, or account restrictions imposed by them.

9. Fees and payment

Fees for our services are set out in the applicable service agreement or invoice. Unless agreed otherwise, invoices are payable per the terms stated on them, and we may suspend services for accounts with overdue payment after reasonable notice.

10. Suspension and termination

Either party may terminate a service engagement per the notice terms in the applicable service agreement. We may suspend or terminate access to the Services immediately if you materially breach these Terms. Upon termination, we will cease publishing on your behalf and, on request, revoke and delete stored access tokens for your accounts.

11. Disclaimers

The Services are provided “as is” and “as available”. We do not guarantee specific outcomes from social media activity — including reach, engagement, follower growth, or how third-party platforms distribute or display published content. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

12. Limitation of liability

To the maximum extent permitted by law, Zarle Infotech will not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data, arising from your use of the Services. Our total aggregate liability for any claim arising out of a service engagement is limited to the fees paid by you for that engagement in the three months preceding the claim.

13. Governing law

These Terms are governed by the laws of India. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the courts of the state in which Zarle Infotech is registered, unless your service agreement specifies otherwise.

14. Changes to these terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Material changes will be posted on this page, and continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
